Sdn Bhd Annual Compliance Checklist Malaysia 2026

Registering a Sdn Bhd is only the beginning. Once the company exists, its directors must keep the company records, filings, accounts and tax matters up to date. This checklist gives Malaysian small-business owners a simple view of the recurring items to plan for.

Most Sdn Bhd owners should plan around four areas every year: SSM annual return, financial statements and applicable SSM lodgement, corporate tax compliance, and accurate company and accounting records.

1. Lodge the SSM Annual Return

A Malaysian company must lodge an Annual Return each calendar year. For a local company, SSM states that it is due within 30 days from the anniversary of the company's incorporation date.

The Annual Return contains key company particulars such as the business activities, registered office, directors, company secretary, members and shareholding information. Your company secretary will normally coordinate this filing, but directors should make sure the information is accurate.

2. Prepare financial statements

Directors are responsible for maintaining proper accounting records so that true and fair financial statements can be prepared. For a private company, SSM states that the financial statements and reports are generally lodged within 30 days after they are circulated to members.

Do not assume that every private company must follow exactly the same audit process. Malaysia has audit-exemption rules for qualifying private companies, and the applicable criteria can change. Confirm your company's current position with your company secretary or accountant.

3. Handle corporate income tax

A Sdn Bhd is a separate taxpayer from its owner. HASiL requires companies to deal with corporate tax filings and, where applicable, estimated tax instalments.

For a newly operating company whose first basis period is at least six months, e-CP204 is generally submitted within three months from the start of operations. For an existing company, the estimate is generally submitted no later than 30 days before the start of the basis period. HASiL also states that the company return is due within seven months after the accounting period closes.

4. Keep company information current

Do not wait until the Annual Return to deal with every change. Changes involving directors, secretaries, members, share capital, registered address or other company particulars may have separate notification requirements.

Whenever something material changes, tell your company secretary promptly and ask whether an SSM filing is required.

5. Maintain proper accounting and supporting records

Keep invoices, receipts, bank records, payroll information, contracts and other supporting documents organised throughout the year. Good bookkeeping makes year-end accounts, tax preparation and e-Invoice compliance much easier.

Who normally handles what?

Your company secretary normally handles corporate secretarial filings with SSM. Your accountant or tax agent normally handles accounts and tax work. But outsourcing the work does not mean directors should ignore compliance.
