SDN BHD COST GUIDE

Sdn Bhd Registration Cost Malaysia 2026: What Will You Actually Pay?

If you are comparing Sdn Bhd incorporation packages, the headline price can be misleading. There is a statutory SSM incorporation fee, but your real first-year cost may also include professional incorporation assistance, a company secretary, registered-office services and other compliance work.

Quick answer

SSM's statutory incorporation fee for a company limited by shares is RM1,000. A separate company-name reservation costs RM50 per 30 days if you use that route. Professional service providers charge additional fees, and every Sdn Bhd must appoint a qualified company secretary within 30 days after incorporation.

1. SSM incorporation fee: RM1,000

SSM currently lists RM1,000 for an application to incorporate a company limited by shares. This is the government incorporation fee, not necessarily the total price you will pay when using an incorporation provider.

2. Company name: direct registration vs separate reservation

SSM allows direct incorporation, which combines the name and incorporation process. Alternatively, you can reserve a company name separately. SSM currently charges RM50 for every 30 days or part thereof for a separate name reservation, subject to its permitted reservation period.

3. Professional incorporation service

You can handle the SSM process yourself or pay a professional provider to prepare and submit the incorporation. Provider prices vary according to what is included.

As a current market example, Foundingbird advertises an incorporation package at RM1,599 excluding SST, including its stated government fees, document preparation and submission, incorporation documents, name checking, tax-number registration and selected onboarding services. This is an example rather than a universal market price, and packages can change.

4. Company secretary: an ongoing cost

A company secretary is not an optional add-on for a Sdn Bhd. SSM states that a company secretary must be appointed within 30 days after incorporation. Secretarial providers normally charge an ongoing monthly or annual fee, and what is included varies significantly.

For example, Foundingbird currently advertises a compliance-only company-secretarial plan at RM99 per month, paid as RM1,188 annually, excluding SST. Its stated package includes a registered office and several mandatory compliance filings. Other providers may use lower headline monthly fees but charge separately for filings or corporate changes.

Why a RM1,000 Sdn Bhd does not mean RM1,000 per year

The RM1,000 figure is the incorporation fee. Running the company creates ongoing obligations. Your actual annual cost depends on the company secretary package, required filings, accounting transaction volume, tax work, payroll, audit requirements where applicable and any changes you make to the company.

What should you check when comparing incorporation packages?

Before choosing the cheapest headline offer, ask whether the quoted price includes SSM fees, name-related fees, incorporation documents, company-secretary appointment, registered-office services, annual return filing, beneficial-ownership work, financial-statement filing and charges for common corporate changes.

PRICE COMPARISON TIP

Compare the first-year total, not RM/month

A low company-secretary monthly price can look attractive until mandatory filings and other charges are added. Ask each provider for the expected first-year total for a normal active Sdn Bhd and a list of what is excluded.

Example: using an incorporation provider

If you prefer someone to manage the process, a provider can bundle government filing and professional assistance. Foundingbird currently lists RM1,599 excluding SST for its incorporation package and RM1,188 per year excluding SST for its entry company-secretarial plan. Based on those advertised prices, those two services together would be RM2,787 before SST, although the exact services, pricing and eligibility should always be checked directly with the provider.

Should you incorporate yourself or pay a provider?

If your structure is simple and you are comfortable handling the registration process, the direct SSM route may reduce professional setup costs. Paying a provider can make more sense when you value guided onboarding, document preparation, a bundled company-secretarial relationship or help coordinating post-incorporation tasks.

The better question is not simply “which is cheaper?” but “how much administration do I want to handle myself?”

Not sure whether you need a Sdn Bhd?

Do not incorporate simply because a package looks affordable. First decide whether the structure fits the size, risk and growth plans of your business.
